Retainer Terms and Conditions

Digital Marketing Retainer Terms of Agreement

This Digital Marketing Retainer Terms of Agreement ("Agreement") is entered into by and between Sketch Creative Limited (also trading as Sketch Dental) (10349356) ("Provider") and you as the customer ("Customer") for the provision of digital marketing consulting services. This Agreement outlines the terms and conditions governing the retainer engagement between the parties.

1. Term of Engagement The term of this retainer agreement will be from [start date] until [end date], constituting the "Initial Agreement Phase" of [duration]. This includes an onboarding and preparation period of 2-4 weeks, followed by account delivery, monitoring, and reporting for 10-12 weeks in line with agreed goals.

2. Scope of Services During the term of this Agreement, Sketch Creative agrees to provide the services as outlined in the Proposed Services documentation, which will be provided separately. The Customer acknowledges that any additional services requested beyond the agreed scope will be subject to separate arrangements and billed separately at an hourly rate.

3. Billing and Payment The Customer will be required to sign up for Sketch Creative's automated billing system, which operates on a pro-rata basis. Invoices for the retainer fees will be issued in accordance with the agreed billing schedule. Payment terms for all invoices are 30 days from the invoice date.

4. Automatic Renewal This Agreement will automatically renew on [renewal date] for subsequent terms unless either party provides written notice of changes or termination at least four weeks prior to the end of the current term. In the absence of notice, the retainer engagement will seamlessly continue, or necessary adjustments will be made based on the Customer's requirements.

5. Cancellation and Notice Period Should the Customer wish to cancel the retainer engagement, written notice must be provided. If the engagement period is less than 3 months, a notice period of 4 weeks applies. If the engagement period is over 3 months, a notice period of 3 months applies. The Customer agrees to fulfil the agreed-upon duration of the Initial Agreement Phase before any cancellation notice period becomes applicable.

6. Additional Expenses This Agreement does not include expenses related to travel, approved business activities, or other miscellaneous costs. Such expenses, if incurred and approved by the Customer, will be billed separately. The Customer agrees to pay all invoices related to additional expenses within 30 days of the invoice date.

7. Confidentiality Both parties agree to treat any confidential information shared during the course of the engagement as confidential and shall not disclose, reproduce, or use such information except as necessary to fulfil their obligations under this Agreement or with the express written consent of the disclosing party.

8. Governing Law and Jurisdiction This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Provider is located. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

9. Entire Agreement This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, or representations, whether oral or written.

By signing this Agreement or subscribing to the retainer, you, as the Customer, acknowledge that you have read, understood, and agreed to be bound by the terms and conditions set forth herein.
